Terms of Service
1. Acceptance of Terms
By creating an account, accessing, or using the Orbit Loyalty platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms apply to all users of the Service, including customers, merchants (store owners), and staff members.
Orbit Loyalty reserves the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
2. Service Description
Orbit Loyalty is a multi-tenant Software-as-a-Service (SaaS) loyalty platform that enables businesses to create and manage digital loyalty programmes for their customers. The Service includes:
- Points and stamp-card loyalty programme management
- Digital loyalty cards for Google Wallet and Apple Wallet
- Point-of-sale (POS) and e-commerce webhook integrations
- Earn code generation and redemption
- Customer membership and transaction tracking
- Store management panels and a public-facing customer application
- In-app notification and support ticket systems
3. Accounts & Eligibility
You must be at least 13 years of age to create an account on Orbit Loyalty. By creating an account, you represent that the information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@orbitloyalty.app of any unauthorised use of your account.
Orbit Loyalty reserves the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses a security risk.
4. Merchant Terms
Merchants who create stores on Orbit Loyalty agree to the following:
- Accurate information: You must provide accurate business name, description, and contact information. Misleading store profiles are prohibited.
- Subscription plans: Access to advanced features is governed by your selected subscription plan (Free, Starter, Pro, or Enterprise). Downgrading your plan may restrict access to features in use.
- Loyalty programme integrity: You are responsible for honouring the rewards and redemptions you configure. Orbit Loyalty is not liable for merchant disputes with customers over reward fulfilment.
- Customer data: You may only access data of customers who have actively joined your store. You must not misuse customer contact information obtained through the platform.
- API keys: API keys issued to you are confidential. You are responsible for any use of your keys. Do not share keys publicly or embed them in client-side code.
5. Customer Terms
Customers who join loyalty programmes through Orbit Loyalty agree to the following:
- One account per person: Each person may only maintain one customer account. Creating multiple accounts to manipulate loyalty balances is prohibited.
- Earn codes: Earn codes are single-use and must only be used once. Attempting to reuse, share, or reproduce codes is prohibited.
- Points have no monetary value: Loyalty points and stamps have no cash value and cannot be exchanged for money. They may only be redeemed for rewards as defined by each individual merchant.
- Expiry: Points and stamps may expire according to each merchant's programme rules. Orbit Loyalty is not responsible for expired balances.
6. Points & Rewards
Points and stamps are awarded at the sole discretion of each merchant according to their configured earn rate. Orbit Loyalty does not guarantee a specific earn rate and is not responsible for changes merchants make to their programme rules.
Orbit Loyalty is not a party to the reward redemption transaction between a merchant and a customer. Any disputes regarding reward fulfilment must be resolved directly with the merchant.
In cases of technical error (such as incorrect points awarded due to a misconfigured earn rate or webhook failure), Orbit Loyalty and the relevant merchant reserve the right to correct balances.
7. Third-Party Integrations
The Service integrates with third-party platforms including Google Wallet, Apple Wallet, Shopify, WooCommerce, Salla, and Square. Your use of those platforms is subject to their respective terms of service and privacy policies. Orbit Loyalty is not responsible for the actions, content, or policies of those third parties.
Merchants who connect POS or e-commerce webhooks to Orbit Loyalty are responsible for ensuring their integration is configured correctly and that customer data transmitted via webhook is done so lawfully under applicable data protection law.
8. Prohibited Use
You may not use the Service to:
- Fraudulently inflate points or stamp balances
- Reverse-engineer, decompile, or attempt to extract source code from the platform
- Send spam, phishing messages, or unsolicited communications through the notification system
- Impersonate another person or business
- Attempt to gain unauthorised access to other accounts, stores, or the platform infrastructure
- Use automated scripts to bulk-create accounts or abuse earn codes
- Violate any applicable local, national, or international law or regulation
9. Intellectual Property
The Orbit Loyalty platform, including its software, design, trademarks, and content, is owned by Orbit Loyalty and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.
Merchants retain ownership of their own branding assets (logos, store names, images) uploaded to the platform. By uploading content, you grant Orbit Loyalty a licence to display that content within the Service for the purpose of operating your store.
10. Limitation of Liability
To the fullest extent permitted by law, Orbit Loyalty shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or harmful components.
In no event shall Orbit Loyalty's total liability to you for all claims exceed the amount you paid for the Service in the 12 months preceding the claim, or USD $100 if you have not paid anything.
11. Termination
By you: You may terminate your account at any time by deleting it from Account Settings, Danger Zone. Merchants may close their store from the Store Panel or by contacting support. Termination does not entitle you to a refund of any prepaid subscription fees.
By us: We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms, fraudulent activity, or any other reason at our discretion.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 9, 10, and 12) will survive.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Egypt.
